Welcome to Organic Ties ("Platform"), an online marketplace connecting local organic farms ("Farmers") with customers ("Customers") in the United States. This Platform is owned and operated by Organic Ties, LLC, located in South Bend, Indiana.

By accessing or using our Platform, you agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and all other policies referenced herein. If you do not agree to all of these Terms, do not access or use the Platform.

1. Definitions "Platform": Refers to the www.organicties.com website and any associated services, applications, or tools provided by Organic Ties.

"User": Refers to any individual or entity accessing or using the Platform, including both Farmers and Customers.

"Farmer": Refers to any local organic farm or producer that registers an account on the Platform to sell their products.

"Customer": Refers to any individual or entity that registers an account on the Platform to purchase products from Farmers.

"Content": Refers to any text, images, graphics, audio, video, or other materials uploaded, posted, or displayed on the Platform by Users or Organic Ties.

"Services": Refers to the online marketplace services provided by Organic Ties through the Platform, facilitating transactions between Farmers and Customers.

2. Acceptance of Terms By creating an account, making a purchase, listing products, or otherwise using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. These Terms constitute a legally binding agreement between you and Organic Ties.

3. Changes to Terms [Your Company Name] reserves the right, at its sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. Organic Ties, LLC cannot and will not be liable for any loss or damage arising from your failure to comply with these security obligations.

Eligibility: You must be at least 18 years old to create an account and use the Platform. By using the Platform, you represent and warrant that you are at least 18 years old.

5. Platform Services The Platform provides an online marketplace that allows Farmers to list and sell their organic produce and other farm products directly to Customers. Organic Ties acts solely as a platform provider and is not a party to any transaction between Farmers and Customers. We do not own, sell, resell, or deliver any farm products.

6. Farmer Obligations As a Farmer using the Platform, you agree to:

Organic Certification: Maintain valid organic certification for all products listed on the Platform, and provide proof of certification upon request.

Product Accuracy: Accurately describe and represent your products, including their origin, weight, quantity, and any other relevant details.

Pricing: Set fair and accurate prices for your products.

Order Fulfillment: Promptly fulfill all orders placed through the Platform, ensuring products are delivered as described and within the agreed-upon timeframe.

Communication: Maintain clear and timely communication with Customers regarding their orders.

Compliance: Comply with all applicable local, state, and federal laws and regulations related to the sale and distribution of food products.

7. Customer Obligations As a Customer using the Platform, you agree to:

Payment: Pay for all products purchased through the Platform in a timely manner.

Accurate Information: Provide accurate and complete delivery information.

Respectful Conduct: Interact with Farmers and other Users in a respectful and professional manner.

Review Guidelines: Adhere to any review guidelines established by Organic Ties when providing feedback on products or Farmers.

8. Prohibited Conduct You agree not to engage in any of the following prohibited activities:

Using the Platform for any unlawful purpose or in violation of any local, state, national, or international law.

Impersonating any person or entity, or falsely stating or otherwise misrepresenting your affiliation with a person or entity.

Uploading or transmitting any Content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.

Engaging in any activity that interferes with or disrupts the Platform (or the servers and networks which are connected to the Platform).

Attempting to gain unauthorized access to any portion of the Platform, other accounts, computer systems, or networks connected to the Platform.

Using any robot, spider, scraper, or other automated means to access the Platform for any purpose without our express written permission.

Collecting or storing personal data about other Users without their express consent.

9. Content User Content: You are solely responsible for the Content you upload, post, or display on the Platform. By submitting Content, you grant Organic Ties a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the Content in connection with the Platform and Organic Ties, LLCs business.

Our Content: All Content provided by Organic Ties on the Platform, including text, graphics, logos, and software, is the property of Organic Ties, LLC or its licensors and is protected by copyright and other intellectual property laws.

10. Payments and Fees Payment Processing: All payments for products purchased through the Platform will be processed securely through third-party payment processors. Organic Ties does not store your full payment card details.

Marketplace Fees: Organic Ties may charge fees for the use of its Services, such as a commission on sales made by Farmers. Any such fees will be clearly communicated on the Platform. You are responsible for all applicable taxes arising from your use of the Services.

11. Dispute Resolution Between Users: Organic Ties encourages Farmers and Customers to resolve any disputes arising from transactions directly. While we may offer tools or guidance to facilitate resolution, we are not obligated to mediate or resolve disputes between Users.

14. Indemnification You agree to defend, indemnify, and hold harmless Organic Ties, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Platform; (ii) your violation of any term of these Terms; (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your Content caused damage to a third party.

15. Governing Law These Terms shall be governed and construed in accordance with the laws of the State of Indiana, without regard to its conflict of law provisions. You agree to submit to the personal jurisdiction of the courts located in South Bend, Indiana for the purpose of litigating all such claims or disputes.

16. Termination We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Platform will immediately cease. If you wish to terminate your account, you may simply discontinue using the Platform.

17. Miscellaneous Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions of these Terms will remain in full force and effect.
